These Terms of Service (“Terms”) govern your access to and use of the website located at https://ciranox.com (the “Site”) and all services, programs, content, and products offered by Ciranox LLC, a Wyoming limited liability company (“Ciranox,” “we,” “us,” or “our”).

By accessing, browsing, or using the Site or any services provided by Ciranox, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy and any additional policies incorporated by reference. If you do not agree, you must not use the Site or services.

1. Eligibility and Age Requirement

You must be at least 18 years of age and legally capable of entering into a binding contract to use this Site or any Ciranox services.

By using the Site, you represent and warrant that:

  • You are at least 18 years old
  • You are legally permitted to receive telehealth services under applicable law
  • All information you provide is truthful, accurate, and complete

Ciranox assumes no responsibility or liability for misrepresentations regarding age or eligibility.

2. Nature of Services (Telehealth Disclaimer)

Ciranox provides telehealth-based wellness and healthcare-related services, which may include but are not limited to:

  • Telehealth consultations
  • Medical evaluations
  • Mental health–related services
  • Nutritional counseling
  • Ongoing care management
  • Prescription facilitation through third-party licensed pharmacies

All medical services are provided only by appropriately licensed third-party healthcare providers, not by Ciranox itself. Ciranox does not practice medicine and does not interfere with clinical decision-making.

Telehealth services may not be appropriate for all conditions. You acknowledge that:

  • Telehealth has limitations compared to in-person care
  • Diagnoses and treatment decisions rely on the information you provide
  • Emergency or life-threatening conditions should be addressed by calling 911 or visiting an emergency facility

3. Intellectual Property Rights

All content on the Site, including but not limited to text, software, code, graphics, images, videos, trademarks, logos, designs, layout, and downloadable materials (collectively, “Content”), is owned by or licensed to Ciranox LLC and is protected by U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use.

You may not:

  • Copy, reproduce, distribute, modify, or create derivative works
  • Reverse engineer or attempt to extract source code
  • Use content for commercial purposes
  • Remove copyright or proprietary notices
  • Use Ciranox branding without written permission

Any unauthorized use may result in termination of access and legal action.

4. Acceptable Use Policy

You agree not to use the Site or services to:

  • Violate any applicable law or regulation
  • Infringe on intellectual property or privacy rights
  • Harass, abuse, threaten, or defame others
  • Submit false, misleading, or incomplete medical or personal information
  • Interfere with system security or functionality
  • Attempt unauthorized access to accounts, servers, or data
  • Transmit malware, viruses, or malicious code
  • Circumvent payment or subscription systems

Ciranox reserves the right to suspend or permanently terminate access at its sole discretion, with or without notice, for any violation or suspected misuse.

5. Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity occurring under your account
  • Promptly notifying us of unauthorized access

Ciranox is not liable for losses caused by unauthorized account use.

6. Medication Use and Adherence

All medications must be taken exactly as prescribed by your licensed provider.

You acknowledge and agree that:

  • Failure to follow dosing instructions may result in harm
  • Non-adherence may disqualify you from continued treatment
  • Ciranox may suspend or terminate care for safety or compliance reasons
  • Treatment guarantees, outcomes, or results are not promised

7. Follow-Up Appointments, Ongoing Care & Inactivity Policy

Active Enrollment Benefits

While your subscription or program remains active and in good standing, you may receive:

  • Follow-up provider visits
  • Medication monitoring
  • Dosage adjustments
  • Care coordination
  • Nutritional support (if applicable)

Inactivity and Reactivation

If you fail to engage, attend appointments, or otherwise participate in your care for more than 60 consecutive days, your account will be designated inactive.

To resume care after inactivity:

  • A reactivation consultation fee will apply
  • Updated medical information will be required
  • Reactivation is not guaranteed
  • Final approval rests solely with the licensed provider

Ciranox reserves the right to decline reactivation for medical, compliance, or administrative reasons.

8. Telehealth Process Overview

By using Ciranox services, you acknowledge the following process:

  1. You complete an online intake and medical questionnaire
  2. A licensed provider reviews your submission
  3. Provider determines eligibility and appropriateness
  4. If approved, prescriptions may be issued
  5. Medications are fulfilled by U.S.-licensed partner pharmacies
  6. Ongoing support and follow-ups may be provided

Medication availability, delivery times, and continuation of therapy are not guaranteed and may change at any time.

9. Payments, Billing, and Financial Responsibility

Payment Authorization

All fees are due at the time of purchase unless otherwise stated. By submitting payment information, you authorize Ciranox to:

  • Charge one-time or recurring fees
  • Process subscription renewals automatically
  • Store payment credentials with compliant processors

Failed Payments

If a payment fails, is disputed, or reversed:

  • Services may be immediately suspended
  • Access may be revoked without notice
  • You remain responsible for all outstanding balances

Unpaid balances may be:

  • Sent to collections
  • Reported as permitted by law
  • Subject to interest, penalties, and recovery costs
    You agree to pay all reasonable collection and legal fees incurred.

10. Cancellation Policy

Cancellation requests must be submitted at least 72 hours before the next billing cycle, in accordance with the billing consent provided at enrollment.

Failure to cancel within the required timeframe will result in charges being processed as scheduled.

Ciranox is not responsible for failure to cancel due to user error, missed emails, or technical misunderstandings.

11. Refund Policy (Strict)

All payments are final and non-refundable, including but not limited to:

  • Missed or unused appointments
  • Failure to complete onboarding
  • Ineligibility after provider review
  • Dissatisfaction with treatment
  • Late cancellation requests
  • Subscription charges already processed

Refunds, if any, may be issued only in extraordinary circumstances, solely at Ciranox’s discretion, and do not establish precedent.

12. Prescriptions and Pharmacy Services

  • Prescriptions are issued only when medically appropriate
  • Filled by independent U.S.-licensed partner pharmacies
  • Medication availability, formulation, and delivery times may vary
  • Ciranox does not guarantee uninterrupted access to any medication
  • Providers may modify, pause, or discontinue treatment at any time

Ciranox bears no liability for pharmacy delays, shortages, or third-party fulfillment issues.

13. Provider Assignment Disclaimer

Ciranox reserves the unrestricted right to assign, reassign, substitute, or remove healthcare providers at any time, with or without notice.

You acknowledge that:

  • You have no right to a specific provider
  • Provider availability is not guaranteed
  • Continuity of care will be attempted but not guaranteed

14. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRANOX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS
  • UNINTERRUPTED OR ERROR-FREE SERVICE

No guarantee is made regarding outcomes, diagnoses, or treatment success.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CIRANOX LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT
  • INCIDENTAL
  • CONSEQUENTIAL
  • EXEMPLARY
  • SPECIAL
  • PUNITIVE DAMAGES

INCLUDING loss of profits, data, goodwill, or personal injury, arising from or related to use of the Site or services.

IN ALL CASES, CIRANOX’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CIRANOX IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless Ciranox LLC and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from:

  • Your use or misuse of the Site or services
  • Violation of these Terms
  • Violation of any law or third-party right
  • False or inaccurate information you provide

17. Mandatory Arbitration, Waiver of Legal Actions, and Governing Law

17.1 Binding Arbitration Requirement

To the fullest extent permitted by applicable law, any and all disputes, claims, controversies, or causes of action of any kind, whether based in contract, tort, statute, regulation, misrepresentation, negligence, or any other legal or equitable theory, arising out of or relating in any way to:

  • these Terms,
  • your use of the Site or services,
  • any products, prescriptions, or treatments,
  • billing, payments, or subscriptions,
  • communications with Ciranox or its providers, or
  • any relationship between you and Ciranox

shall be resolved exclusively through final and binding arbitration, and not in any court of law, except as expressly stated below.

You and Ciranox agree that arbitration replaces the right to go to court, including the right to a judge or jury trial.

18. Consumer Rights

Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection laws.

19. Severability

If any provision of these Terms is found unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

20. Modifications to Terms

Ciranox reserves the right to modify or update these Terms at any time. Changes will be effective upon posting on the Site and/or notification via email.

Continued use of the Site after updates constitutes acceptance of the revised Terms.
